1. Introduction

These Terms of Service (“Terms”) govern access to and use of the websites, applications, digital platforms, and related services (collectively, the “Services”) provided by Philaris Health (“Philaris”, “Company”, “we”, “our”, or “us”).

By accessing or using the Services, you agree to be legally bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

2. Eligibility and Authority

The Services are intended for individuals who are at least eighteen (18) years of age. By using the Services, you represent and warrant that you meet this requirement.

If you access or use the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such case, references to “you” shall include that entity.

3. Nature of the Services and Medical Disclaimer

Philaris provides AI-supported mental health tools, digital wellbeing resources, and related analytics services for individuals and organizations.

Philaris is not a medical provider and does not provide medical advice, diagnosis, or treatment. The Services are not intended to replace professional medical or psychological care. Any information provided through the Services is for informational and supportive purposes only.

Users must not disregard or delay seeking professional medical advice because of information obtained through the Services. In the event of a medical or psychological emergency, users should contact appropriate emergency services or qualified healthcare professionals immediately.

4. Account Registration and Security

Access to certain features of the Services may require account registration. Users agree to provide accurate and complete information and to keep such information up to date.

Users are responsible for maintaining the confidentiality of account credentials and for all activities that occur under their account. Any unauthorized access or suspected security breach must be reported to Philaris without undue delay.

Philaris reserves the right to suspend or terminate accounts where inaccurate information is provided or where misuse is suspected.

5. Acceptable Use

Users agree to use the Services only in compliance with applicable laws and these Terms.

Users must not use the Services for unlawful, harmful, fraudulent, or abusive purposes. This includes, but is not limited to, attempting to gain unauthorized access to systems, transmitting malicious software, interfering with the operation of the Services, or using the Services in a manner that could impair availability or security.

Philaris may suspend or terminate access where a violation of this section is reasonably suspected.

6. Intellectual Property Rights

All rights, title, and interest in and to the Services, including software, content, designs, trademarks, AI models, and related intellectual property, remain the exclusive property of Philaris or its licensors.

Subject to compliance with these Terms, Philaris grants users a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose.

Unless otherwise agreed in a separate written agreement, users may not reproduce, modify, distribute, create derivative works from, reverse engineer, or commercially exploit any portion of the Services without prior written consent.

7. Subscription, Fees, and Payment

Certain Services may be offered on a paid subscription basis. Where applicable, users agree to pay all fees in accordance with the pricing and billing terms presented at the time of purchase or set forth in a separate commercial agreement.

Fees are non-refundable except where required by applicable law or expressly stated otherwise in a written agreement.

Philaris reserves the right to modify subscription fees upon reasonable prior notice. Continued use of the Services after such modification constitutes acceptance of the updated fees.

8. Third-Party Services

The Services may integrate or link to third-party services, platforms, or websites. Philaris does not control and is not responsible for the availability, content, or practices of such third parties.

Use of third-party services is governed by the respective third party’s terms and policies.

9. Data Protection

The processing of personal data in connection with the Services is governed by our Privacy Policy.

By using the Services, users acknowledge that personal data will be processed in accordance with that policy.

Where Philaris provides Services to organizational clients, additional data protection terms may apply under separate data processing agreements.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

Philaris makes no express or implied warranties regarding the availability, reliability, accuracy, completeness, or fitness of the Services for a particular purpose. Philaris does not guarantee that the Services will be uninterrupted, secure, or error-free.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11. Limitation of Liability

To the fullest extent permitted by law, Philaris and its officers, employees, affiliates, and contractors shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption arising out of or in connection with the use of the Services.

Where liability cannot be excluded, Philaris’ total aggregate liability for claims arising from or related to the Services shall not exceed the total amount paid by the user for the Services in the twelve (12) months preceding the event giving rise to the claim.

This limitation does not apply to liability arising from intent or gross negligence, or where otherwise prohibited by law.

12. Indemnification

Users agree to indemnify and hold harmless Philaris from and against claims, damages, liabilities, and expenses arising from a breach of these Terms or unlawful use of the Services.

13. Termination

Philaris may suspend or terminate access to the Services where there is a material breach of these Terms or where continued access would pose a legal or security risk.

Upon termination, the right to access the Services ceases immediately. Provisions that by their nature are intended to survive termination, including intellectual property rights, disclaimers, and limitations of liability, shall remain in effect.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Austria, excluding its conflict of law rules.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Vienna, Austria, unless mandatory consumer protection laws provide otherwise.

15. Amendments

Philaris may amend these Terms from time to time. Updated versions will be published on our website and will indicate the revised “Last Updated” date.

Continued use of the Services after such publication constitutes acceptance of the amended Terms.
